End User License Agreement

I. Preamble (Important Notice)

This "User Agreement of Balsa Download Manager" (hereinafter referred to as the "Agreement") is a formal agreement entered into between the contracting parties, namely the developer of Balsa Download Manager (hereinafter referred to as "we" or "us") and the user (hereinafter referred to as "you"), regarding your use of the Balsa Download Manager software and related services provided by us. This Agreement describes the rights and obligations between us and you in respect of software licensing, service use and related aspects.

We hereby specially remind you to carefully read all the terms of this Agreement, including the liability exemption clauses that exempt or limit our liability and the restrictions on your rights. Please review and accept or decline this Agreement (minors shall review and perform this Agreement accompanied by their legal guardians, and the exercise and performance of the rights and obligations under this Agreement by minors shall be deemed to have obtained the approval of their legal guardians). Unless you accept the terms of this Agreement, you have no right to use the relevant services under this Agreement. Your acts of installing, opening the software, using the services, etc., shall be deemed as your acceptance of this Agreement and your consent to be bound by all the terms of this Agreement.

"User" or "you" refers to an individual or a single entity that obtains the license for the Balsa Download Manager software and/or services through the channels provided by us. The validity of this Agreement covers all products and services of Balsa Download Manager provided by us.

II. Confirmation and Acceptance of Service Terms

2.1 The ownership of the Balsa Download Manager products and software and the related intellectual property rights belong to us. The services provided by us shall be strictly implemented in accordance with their service terms and operating rules. The validity of these service terms covers all products and services of Balsa Download Manager provided by us. When you enjoy any single service provided by us, you shall be bound by this Agreement and the user agreement related to the single software and service. Your installation or opening of the Balsa Download Manager software shall mean that you have reached an agreement with us and voluntarily accepted all the contents of these service terms.

2.2 The ownership and operation right of the paid subscription service belong to us. We have the right to supervise, prompt and inspect your use of the paid subscription service. If your behavior violates relevant laws and regulations or the provisions of these service terms, we have the right to require you to correct it and pursue your liability.

2.3 When you use each single service of Balsa Download Manager, there may be separate service terms to regulate these services. Please separately understand and confirm when using the relevant services. Your use behavior shall be deemed as your acceptance of the service terms of the single service and various announcements issued by us in respect of the single service.

III. User Usage Rules

3.1 We provide relevant services of Balsa Download Manager according to actual conditions. Some services are paid subscription services, and you need to pay a certain fee to us for using the paid subscription services. For paid subscription services, we will give you a clear prompt before you use them. You can only use such paid subscription services if you confirm your willingness to pay the relevant fees according to the prompt. If you refuse to pay the relevant fees, we have the right not to provide you with such paid subscription services.

3.2 You understand that we only provide relevant product services. In addition, the equipment related to the relevant product services (such as personal computers, mobile phones, and other devices related to accessing the Internet or mobile networks) and the required fees (such as telephone fees and Internet access fees paid for accessing the Internet, and mobile phone fees paid for using mobile networks) shall be borne by you yourself.

3.3 When using the software or services of Balsa Download Manager, you must comply with the relevant laws and regulations of China, the legal provisions of other relevant countries and regions, and the relevant provisions of international law. You shall not use the Balsa Download Manager software and services to create, publish, copy, transmit, disseminate or store the following information: information that violates the basic principles established by the Constitution; information that endangers national security, divulges state secrets, subverts state power or undermines national unity; information that damages national honor and interests; information that distorts, defames, profanes or denies the deeds and spirits of heroes and martyrs, or infringes upon the names, portraits, reputations and honors of heroes and martyrs by means of insult, slander or other methods; information that advocates terrorism, extremism or incites the implementation of terrorist or extremist activities; information that incites national hatred, national discrimination or undermines national unity; information that undermines national religious policies or advocates cults and feudal superstition; information that spreads rumors, disturbs social order or undermines social stability; information that spreads obscenity, pornography, gambling, violence, terror or incites crimes; information that insults or slanders others or infringes upon the legitimate rights and interests of others; information that incites illegal assemblies, associations, processions, demonstrations or gathers crowds to disturb social order; information that acts in the name of illegal civil organizations; information that infringes upon others' intellectual property rights, trade secrets or other legitimate rights; information with exaggerated titles that are seriously inconsistent with the content; information that hypes up gossip, scandals, misdeeds, etc.; information that improperly comments on disasters such as natural disasters and major accidents; information with sexual hints, sexual teasing or other content that is likely to arouse sexual associations; information that shows bloody, thrilling, cruel or other content that causes physical and mental discomfort; information that incites crowd discrimination, regional discrimination, etc.; information that promotes vulgar, vulgar and kitsch content; information that may cause minors to imitate unsafe behaviors and behaviors that violate social morality, or induce minors to develop bad habits, etc.; other content that has an adverse impact on the network ecology; and other content prohibited by laws and administrative regulations.

3.4 You shall not use the Balsa Download Manager software and services to mislead or deceive others.

3.5 You shall not use the services of Balsa Download Manager to engage in the following activities that endanger the security of computer networks. If we have reason to believe that your behavior violates or may violate the following provisions, we may independently judge and handle it, and have the right to terminate the provision of services to you without prior notice and pursue relevant legal liabilities: accessing a computer information network or using computer information network resources without permission; deleting, modifying or adding functions of a computer information network without permission; deleting, modifying or adding data and application programs stored, processed or transmitted in a computer information network without permission; intentionally creating or spreading destructive programs such as computer viruses; using unauthorized data or accessing unauthorized servers/accounts; accessing public computer networks or other people's computer systems without permission and deleting, modifying or adding stored information; attempting to detect, scan, test the weaknesses of the Balsa Download Manager software system or network or engaging in other activities that damage network security without permission; attempting to interfere with or damage the normal operation of the Balsa Download Manager software system or website, intentionally spreading malicious programs or viruses, and other activities that damage or interfere with normal network information services; and other activities that endanger the security of computer information networks.

3.6 You shall not interfere with our services in any way.

3.7 You shall be legally liable for your behaviors in the process of using the Balsa Download Manager services. The forms of legal liability you bear include but are not limited to: compensating the injured party, and compensating us in equal amount after we first bear the administrative penalty or tort damages caused by your behaviors. You understand that if we find that the information transmitted on our website obviously falls into one of the contents listed in Section 3.3 of this Article, in accordance with Chinese law, we are obligated to immediately stop the transmission, keep relevant records, report to the relevant national authorities, and delete the addresses, directories containing such content or shut down the server.

3.8 We reserve the right to provide you with software replacement, modification and upgrade versions at any time. At the same time, to improve the user experience, we have the right to integrate our other relevant products and services into the Balsa Download Manager software for your use. You may choose whether to update the corresponding version according to your needs. If you continue to use the updated products and services, it shall be deemed that you have known such changes and agreed to be bound by the terms. To ensure the security of the Balsa Download Manager software and related services and improve user services, after part or all of the Balsa Download Manager software and related services are updated, we will prompt you in an appropriate way (including but not limited to system prompts, announcements, in-site messages, etc.) when feasible. You have the right to choose to accept the updated version; if you choose not to update, some functions of the Balsa Download Manager software and related services will be restricted or cannot be used normally.

IV. Legal Liability and Exemption

4.1 You explicitly agree that the risk of using the Balsa Download Manager services shall be borne by you personally. We explicitly state that we do not provide any type of guarantee, whether express or implied, except for implied commercial guarantees, guarantees for specific purposes and appropriate guarantees that do not violate the provisions. We do not guarantee that the services will meet your requirements, nor do we guarantee that the services will not be interrupted, and we do not make any guarantee for the timeliness, security, authenticity and occurrence of errors of the services. You understand and accept that any information and data obtained by downloading or through the Balsa Download Manager product services depends on yourself, and you shall bear the risks of system damage, data loss and other risks. We shall not be liable for any direct, indirect, incidental, special and subsequent damages and risks arising from the use or inability to use the Balsa Download Manager services under any circumstances.

4.2 We will make every effort to maintain the security and convenience of the relevant services of Balsa Download Manager, but we shall not be liable for the deletion or storage failure of information (including but not limited to the information released by you) in the services. In addition, we reserve the right to determine whether your behavior complies with the requirements of these service terms. If you violate the provisions of these service terms, we have the right to interrupt the relevant services provided to you.

The use of this service involves Internet services, which may be affected by unstable factors in various links. There is a risk of service interruption or failure to meet your requirements due to force majeure, computer viruses, hacker attacks, system instability, your location, computer failures, your shutdown and other network, technical, communication line and other reasons. We promise to cooperate with relevant units to timely handle and repair it at the first time, but you must understand and bear the above risks yourself, and we shall not be liable for any liability.

4.4 We have the right to handle illegal and irregular content in accordance with the provisions of this Agreement. This right does not constitute our obligation or commitment, and we cannot guarantee the timely discovery of illegal behaviors or corresponding handling.

4.5 If you violate the provisions of this Agreement or the relevant service terms, resulting in any claim, demand or loss claimed by any third party, including reasonable litigation costs and attorney fees, you agree to compensate us and hold us harmless. In this regard, we have the right to take measures including but not limited to interrupting the license to use, stopping the provision of services, restricting use, and pursuing legal liability according to the nature of your behavior.

V. Intellectual Property Protection

5.1 You may use our software and services in accordance with this Agreement on the premise of complying with the law and this Agreement. You have no right to engage in the following acts including but not limited to: deleting all copyright information and content on our software and other copies; conducting reverse engineering, reverse assembly, reverse compilation, etc., on our software; without our written consent, you shall not arbitrarily engage in the following acts including but not limited to: over-licensed use, copying, modification, linking, reprinting, compilation, publication, establishing mirror sites, arbitrarily developing derivative products, works, services, etc., related to our software with the help of our software.

5.2 Under no circumstances shall you privately use any trademarks, service marks, trade names, domain names, website names or other prominent brand features of ours including but not limited to "Balsa Download Manager" (hereinafter collectively referred to as "Marks"). Without our prior written consent, you shall not display, use or apply for registration of trademarks, register domain names, etc., of the aforementioned Marks in any way alone or in combination, nor shall you engage in acts that explicitly or implicitly indicate to others that you have the right to display, use or otherwise handle these Marks. You shall bear all legal liabilities for any losses caused to us or others by your use of the above-mentioned trademarks, Marks, etc., of ours in violation of this Agreement.

5.3 Any other derivative software developed based on the Balsa Download Manager software that is not developed and officially released by us or authorized by us is illegal software. Downloading, installing and using such software may lead to unpredictable risks, and all legal liabilities and disputes arising therefrom shall have nothing to do with us. You shall not easily download, install or use such software. Otherwise, we have the right to unilaterally terminate your qualification to use the Balsa Download Manager services without prior notice to you.

VI. Prohibition of Commercialization of Services

Your right to use various services of Balsa Download Manager is personal. Except for the express written authorization of us, you can only be an individual and not a commercial organization such as a company or entity. You promise not to use various services of Balsa Download Manager for sales or other commercial purposes without our consent.

VII. Modification and Revision of Service Terms

7.1 We have the right to modify these service terms and the relevant terms of each single service when necessary. When you enjoy a single service, you shall promptly check and understand the modified content and consciously abide by these service terms and the relevant terms of the single service.

7.2 We reserve the right to modify, interrupt or terminate the services at any time without notifying you. You accept our right to modify, interrupt or terminate the services, and we shall not be liable to you or any third party.

VIII. Confidentiality Clause (Privacy Protection)

Respecting your personal privacy is a basic policy of ours. Therefore, we will obtain your personal information in strict accordance with the provisions of the privacy policy of the corresponding product of Balsa Download Manager, and take technical measures or other necessary measures to ensure the security of your personal information and prevent the leakage, damage or loss of your personal privacy information collected in this service.

IX. Supplementary Agreements on Core Services (Adapted to Balsa Download Manager)

9.1 We shall not be liable for any accidents, negligence, breach of contract, defamation, copyright or intellectual property infringement and the resulting losses (including computer virus infection due to downloading) caused by your use of the download-related services provided by the Balsa Download Manager software, nor shall we bear any legal liability.

9.2 Any links, resources, products and services obtained through Balsa Download Manager are automatically searched and recorded by the software. We are not responsible for their legality. The links in the download resource information index provided by Balsa Download Manager may contain content owned by others' intellectual property rights. We respect the intellectual property rights of others; you understand and agree that the downloading and use of content owned by others' intellectual property rights are entirely based on your own judgment and at your own risk, and we shall not be liable for this.

9.3 All contents in Balsa Download Manager do not reflect or represent any opinions of ours.

9.4 You bear the risk of using Balsa Download Manager yourself. We do not make any form of guarantee, do not guarantee that the downloaded resources can meet your requirements, do not guarantee that the service will not be interrupted, and do not make any guarantee for the security, correctness, timeliness and legality of the service. We shall not be liable for any legal liability if you cannot use Balsa Download Manager normally due to any technical reasons such as network conditions and communication lines or other reasons.

9.5 You acknowledge and agree that if the Balsa Download Manager client adopts P2P (peer-to-peer) network transmission technology to improve the download and transmission quality, it will use part of the upstream bandwidth of your device and other users' devices as a mutual transmission channel to improve the download efficiency of you and other users and optimize the user experience. P2P transmission is equipped with technical protection measures and will not infringe your privacy.

X. Others

10.1 If any part or all of the terms stipulated in this Agreement are invalid, it shall not affect the validity of other terms.

10.2 The interpretation, validity and resolution of disputes under this Agreement shall be governed by the laws of the People's Republic of China. If any dispute or controversy arises between you and us, it shall first be resolved through friendly negotiation. If the negotiation fails, you hereby fully agree that the dispute or controversy can only be submitted to the people's court where we are located for jurisdiction.
